FinCEN finalizes its narrower beneficial ownership reporting rule

FinCEN's 14 August 2026 final rule adopts its earlier interim rule on beneficial ownership reporting with limited changes, adding exemptions for U.S. company applicants and for updates by U.S. persons. The bank customer due diligence rule is unchanged for now.

Beneficial ownership reporting under the Corporate Transparency Act has lurched back and forth for two years now. On 14 August 2026 FinCEN published a final rule (91 FR 52508, 31 CFR part 1010) that settles part of it. The rule took effect the same day.

What the rule does

FinCEN describes the rule as adopting "as final and with certain limited changes the interim final rule" it issued earlier. That interim rule had already narrowed who has to report; among other things, it "exempted foreign reporting companies from the requirement to provide the BOI of any U.S. persons."

The final rule adds two more exemptions:

  • it "exempts reporting companies from having to submit information about their U.S. person company applicants"; and
  • it "exempts all U.S. persons from the requirement to update information already provided to FinCEN."

What it doesn't do

For banks and credit unions, one sentence matters most: "The IFR did not revise FinCEN's CDD Rule." So the customer due diligence rule stays put. You still identify and verify the beneficial owners of a legal entity customer when it opens an account. FinCEN also says it is still legally required to modify the CDD rule and plans to deal with that separately.

Who it reaches

The reporting rule covers companies that would otherwise file beneficial ownership reports with FinCEN. Banks and credit unions mostly feel it at account opening, where they collect the same kind of information under the CDD rule. That rule hasn't changed.

What it could mean

We think the real risk is confusion at the branch. Picture a contractor opening a business checking account who read last month that "the beneficial ownership thing is gone." Your banker hands over the certification form and gets an argument. Staff need one short answer they all give the same way. Something like: that change was about what companies file with the government, and we still have to ask under a separate rule.

Then there's the CDD rule. FinCEN says it still has to revise it, and that one will hit onboarding directly. We'd expect a proposal and a comment period first. Until then, don't trim your collection early. Asking for a bit more than some future rule needs costs a few minutes at onboarding. Asking for less than today's rule needs is an exam finding.

One last point. If you ever leaned on customers' FinCEN filings as a cross-check, assume most of them won't exist anymore.
